Accordingly, this position will have a wide range of responsibilities related to various transactions, activities, and events generated by various stakeholders within the company. We are seeking a colleague who enjoys working collaboratively in a team environment within a dynamic company, as well as driving projects independently.

This Corporate Counsel position will report to the Director, Sr. Corporate Counsel for Public Sector as part of the Technology, Transactions and Privacy group of the Global Legal Department and will be based in Reston, VA. This position will be primarily focused on State, Local and Education (“SLED”) matters and supporting our growing sales team.

Your Career

This role can be based in Santa Clara, CA, Reston, VA, or Plano, TX.

This position will be primarily focused on State, Local and Education (“SLED”) matters and supporting our growing sales team.


Draft, review and negotiate a wide variety of technology (including cloud and hybrid SaaS
models), intellectual property, and channel agreements, and other types of SLED agreements in accordance with company policies and risk tolerance.

Assist RFP team with public sector proposals, certifications and other requirements.

Collaborate and partner effectively with internal business clients to advise on a wide range of legal topics including applicable state and local procurement laws, and contractual rights, obligations and liabilities.

Support compliance in day-to-day sales activities, including providing training and counseling to sales professionals and other internal clients, as well as coordinating with other groups within the Legal Department on public sector compliance matters.

Manage outside counsel on related matters when required.

Support continuous improvement of standard form agreements, policies and legal processes
related to commercial transactions.

Handle special projects as requested.

Qualifications

Your Experience:


Must be a lawyer qualified to practice in at least one U.S. state, and have a law degree from a reputable law school.

Must have 5+ years of public sector transactional experience with demonstrated success, and significant experience in SLED.

Commercial transactional experience a plus.

Familiarity with revenue recognition rules.

Excellent interpersonal skills, business judgment, strategic thinking, superior work ethic,
flexibility and ability to work independently.

Ability to work efficiently with cross-functional teams and manage numerous projects
simultaneously under deadline pressure.

Experience with the Federal contracting (FAR/DFAR) a plus.

Experience with privacy regulations applicable in the government procurement space, including HIPAA, IRS 6103 and Pub 1075, and CJIS a plus, as well as experience negotiating BAAs and DPAs a plus.

Superior language, written and verbal communication skills required.

Sense of humor always a plus and commitment to professionalism and inclusion is expected.

Experience in network security or other high technology companies preferred.

 

Periodic travel may be required.
